You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not the Company, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Website. 

Recurring Subscription

 

If you select a Service with an auto renewal feature (“Recurring Subscription”), you authorize the Company to maintain your account information and charge that account automatically upon the renewal of the Service you choose with no further action required by you. In the event that Brio Business Academy, LLC is unable to charge your account as authorized by you when you enrolled in a Recurring Subscription, the Company, may, in its sole discretion: (i) bill you for your Service and suspend your access to the Service until payment is received, and/or (ii) seek to update your account information through third party sources (i.e., your bank or a payment processor) to continue charging your account as authorized by you.

Brio Business Academy, LLC may change the price for Recurring Subscriptions from time to time and will communicate any price changes to you in advance and, if applicable, how to accept those changes. Price changes for Recurring Subscriptions will take effect at the start of the next subscription period following the date of the price change. As permitted by local law, you accept the new price by continuing to use your Recurring Subscription after the price change takes effect. If you do not agree with the price changes, you have the right to reject the change by cancelling your Recurring Subscription before the price change goes into effect. Please therefore make sure you read any such notification of price changes carefully.

Payments are nonrefundable and there are no refunds or credits for partially used periods. You may cancel a Recurring Subscription at any time, but if you cancel your subscription before the end of the current subscription period, we will not refund any subscription fees already paid to us. Following any cancellation, however, you will continue to have access to the service through the end of your current subscription period. At any time, and for any reason, we may provide a refund, discount, or other consideration to some or all of our users (“credits”). The amount and form of such credits, and the decision to provide them, are at our sole and absolute discretion. The provision of credits in one instance does not entitle you to credits in the future for similar instances, nor does it obligate us to provide credits in the future, under any circumstance.

Coaching and Consulting Services

 

Any services or relationship you may engage in with any coach, expert or other service provider introduced to you through the Website, or by Brio Business Academy, LLC in general (“Coaching” or “Consulting”) shall be deemed an independent relationship between you and any such individual or entity (a “Coach”). Accordingly, you agree to conduct your own independent investigation as to the viability, utility or benefits for any such Coaching or Consulting or any such Coach. You hereby agree to hold Brio Business Academy, LLC, its members, employees, consultants, agents and the like completely and irrevocably harmless for the actions or inactions of any Coach or any Coaching or Consulting you may engage in with a Coach or other individual or entity made known to you by the Website or Brio Business Academy, LLC.

You are solely responsible for creating and implementing your own physical, mental and emotional well-being, decisions, choices, actions and results arising out of or resulting from the coaching relationship and your coaching calls and interactions with the Coach. As such, you agree that the Coach and Brio Business Academy, LLC are not and will not be liable or responsible for any actions or inaction, or for any direct or indirect result of any services provided by the Coach. If applicable, you understand coaching is not therapy and does not substitute for therapy if needed, and does not prevent, cure, or treat any mental disorder or medical disease.

You further acknowledge that you may terminate or discontinue the coaching relationship at any time in accordance with the terms and conditions of your independent relationship with a Coach.

You acknowledge that Coaching may be a comprehensive process that may involve different areas of your life, including your business, work, finances, health, relationships, education and recreation. You agree that deciding how to handle these issues, incorporate coaching principles into those areas and implementing choices is exclusively your responsibility.

You acknowledge that coaching does not involve the diagnosis or treatment of mental disorders as defined by the American Psychiatric Association and that coaching is not to be used as a substitute for counseling, psychotherapy, psychoanalysis, mental health care, substance abuse treatment, or other professional advice by legal, medical or other qualified professionals and that it is your exclusive responsibility to seek such independent professional guidance as needed. Brio Business Academy, LLC and its members, employees, consultants, agents and the like are NOT providing any such guidance. If you are currently under the care of a mental health professional, it is recommended that the you promptly inform the mental health care provider of the nature and extent of the coaching relationship agreed upon with the Coach.

You  may request one change to your scheduled coaching session at least 48 hours in advance of the scheduled time. You acknowledge that whether you attend all, some or none of the scheduled coaching session, the Coach has provided the time requested, and that sessions you miss will not be refunded or rescheduled by Brio Business Academy, LLC or the Coach.

Monitoring and Enforcement; Termination

We have the right to:

• Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
• Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Website or the public, or could create liability for the Company.
• Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
• Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Website. 
• Terminate or suspend your access to all or part of the Website for any or no reason, including without limitation, any violation of these Terms of Use.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Website.
